Stay Guide
Terms of Use

Effective Date: September 12, 2026

A legal disclaimer

These Terms of Use (“Terms”) govern your access to and use of Stay Guide, including Stay Guide websites, property and destination knowledge-base services, AI-powered chat experiences, travel recommendations, personalized itineraries, content and related services (collectively, the “Service”).

Stay Guide is an unincorporated trade name used by its California-based individual proprietor (the “Operator”). In these Terms, “Stay Guide,” “we,” “us” and “our” mean the Operator doing business under the Stay Guide name. Stay Guide provides research, curation and maintenance of property and destination knowledge, together with conversational guides for hotel marketing and guest experience. Nothing in these Terms represents that Stay Guide is a corporation, limited liability company or other separate legal entity.

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Section 8 applies to hotels, properties and other business customers purchasing Stay Guide services. An “Order” means the plan description and checkout disclosures accepted at purchase, or a proposal, order form or written service agreement accepted by both the customer and Stay Guide. An invoice or later website change does not by itself add terms that were not agreed.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use Stay Guide.

The Service is not intended for children or minors.

If you purchase or use the Service on behalf of an organization, you represent that you have authority to bind that organization. You are responsible for the security of any account credentials and for authorized use of the organization’s account.

2. What Stay Guide Does

Stay Guide researches, builds and maintains property-specific knowledge bases and provides the technology through which guests can ask questions, explore recommendations and create personalized itineraries before booking, before arrival and during their stay. Depending on where you access Stay Guide, recommendations may include hotels, restaurants, attractions, activities, events, transportation, outdoor experiences, local businesses and other travel-related information.

Stay Guide may be provided directly through Stay Guide or through a participating hotel, lodging property, destination, travel organization or other partner.

Stay Guide sells its own knowledge-base builds, service plans and additional-conversation packages to hotels and other business customers. Those purchases are governed by Section 8 and the applicable Order. Stay Guide does not itself sell the recommended accommodations, meals, tours, transportation or other third-party travel products, collect guests’ payments for those products, make reservations on guests’ behalf or act as the relevant travel supplier.

3. Artificial Intelligence

Stay Guide uses artificial intelligence and automated technologies to generate responses and recommendations.

Human curation and property approval inform the knowledge available to the guide. They do not mean that a person reviews each AI-generated reply before it is delivered.

AI-generated information may be incomplete, inaccurate, outdated or inappropriate for your particular circumstances. AI systems may misunderstand questions, make errors, produce incorrect information or rely on information that has changed.

You should independently confirm information that is important to your travel plans before relying on it.

The conversational guide generates automated replies; it is not a human travel advisor, emergency service, government authority, medical professional or safety professional. Human research, curation and maintenance support the guide, and guests may contact participating properties or other businesses for personal assistance.

4. Travel Information Must Be Verified

Travel conditions can change rapidly.

You are responsible for independently confirming information including, without limitation:

• business hours and closures;

• prices, fees and availability;

• reservations and admission requirements;

• addresses, directions and transportation;

• weather and environmental conditions;

• road, trail and route conditions;

• closures, restrictions and permit requirements;

• accessibility;

• local laws and regulations;

• safety conditions;

• event schedules;

• hotel amenities and policies; and

• any other information that could materially affect your plans, health, safety or expenses.

Information provided by Stay Guide should not replace official information from the relevant business, property, transportation provider, park, government agency, emergency service or other authoritative source.

5. Emergencies and Safety

Do not use Stay Guide for emergencies or situations requiring immediate assistance.

If you are lost, injured, in danger or experiencing an emergency, contact the appropriate local emergency services, authorities, property staff or qualified professionals.

Outdoor travel and activities may involve inherent risks, including weather, terrain, wildlife, altitude, road conditions and limited access to emergency services. You are responsible for evaluating your own abilities, conditions and risks before undertaking any activity.

6. Assumption of Risk and Release

Stay Guide provides curated informational recommendations only. Recommendations, including recommendations for hikes, trails, routes, drives, outdoor activities, tours, adventure activities and similar experiences, are provided for general informational and planning purposes and are not professional, guiding, medical, safety, fitness or certification advice.

You understand and agree that travel and outdoor activities involve inherent and unavoidable risks, including but not limited to weather, terrain, elevation and altitude, wildlife, water, road and trail conditions, remoteness, limited or delayed access to communications and emergency services, and the actions of third parties. Conditions can change without notice and information may be inaccurate, incomplete or outdated.

You are solely responsible for evaluating whether any recommended place, route or activity is appropriate for your own abilities, experience, fitness, equipment, group and current conditions, and for independently verifying safety and current conditions before you act. You assume all risks associated with acting on information obtained through the Service.

To the maximum extent permitted by applicable law, you release, waive and agree not to sue Stay Guide and its operators, owners, employees, contractors, service providers, licensors and participating properties for any injury, illness, death, loss or damage arising out of or relating to your use of, or reliance on, any recommendation, information or content provided through the Service, including any outdoor, recreational or physical activity you choose to undertake. This release does not apply to liability that cannot be released under applicable law.

Nothing in this section releases liability for fraud, willful misconduct, gross negligence or any other conduct or liability that applicable law does not permit to be released. This section does not excuse failure to perform an express paid-service obligation.

7. Participating Hotels and Properties

A hotel, lodging property or other partner may make Stay Guide available to you.

Unless expressly stated otherwise, the participating property does not operate Stay Guide, and Stay Guide does not operate or control the participating property.

The property remains responsible for its accommodations, facilities, staff, services, policies and representations.

Stay Guide is not authorized to make promises, commitments, refunds, upgrades, reservations, contractual agreements or other binding commitments on behalf of a participating property or third-party business unless expressly stated otherwise.

Guests can explore their options through the guide and contact the property or another provider at any stage for reservations, special arrangements or personal assistance. A suggested contact, link or itinerary is not a confirmed booking or assurance that a person has received or accepted a request. Obtain confirmation directly from the relevant provider.

The guide does not continuously monitor guest conversations for requests requiring human attention. Unless a specific feature expressly tells you otherwise, selecting a booking or contact link does not automatically transfer your conversation to the recipient. Conversation access and information sharing with participating properties are described separately in our Privacy Policy.

8. Hotel Plans Builds and Subscriptions

This section applies to business customers purchasing a knowledge-base build, a recurring Stay Guide plan, additional conversations or a customized service. It does not charge guests for using a property’s guide or govern purchases from independent travel providers.

Plans and Orders

The accepted Order identifies the customer and property, selected service, fees, billing interval, build scope, included conversation allowance and any additional agreed terms. Review those details before purchasing. Contact contact@stayguide.travel if a material term is unclear so that it can be confirmed in writing before you place the Order.

Plans are for the property or properties specified in the Order. Additional locations, portfolio arrangements, integrations or services outside that scope require separate agreement. These Terms do not automatically expand a single-property plan to cover a brand or portfolio.

Research Build and Ongoing Care

The standard service includes property and destination research and curation, a branded conversational guide, quarterly knowledge-base reviews and agreed updates, insights into guest questions, and website, email and QR access with approved booking and team links, as described in the selected plan. A customized Order may provide a different scope.

Stay Guide performs the research, curation, build and ongoing maintenance included in the Order. The property must designate a knowledgeable representative, provide complete and accurate property information and timely feedback, and hold the rights needed for all materials, data and instructions it supplies. Stay Guide may rely on the property’s information, instructions and approvals without independently verifying them.

Before launch and after each material update presented for approval, the property must review the guide and its recommendations for accuracy, currency, safety, suitability and consistency with the property’s policies and applicable law. Approval authorizes Stay Guide to publish the approved material and confirms that the property accepts responsibility for the recommendations it makes available to guests. These review, approval and responsibility duties are material terms of every Order, even though Stay Guide performs the agreed research, curation, build and maintenance.

The property must promptly notify Stay Guide of operational changes, closed or unsuitable businesses, safety concerns, errors and other facts that could affect approved recommendations. Stay Guide may withhold launch, delay an update or suspend affected material while approval or corrective information is outstanding, without reducing fees or creating a refund or credit.

Build and launch dates are estimates and depend on the agreed scope, timely access to required information and the property’s review and approval. Purchasing a plan starts the work and billing but does not mean a completed guide is immediately available. A delay caused by the property, including delayed information or approval, does not postpone billing, extend the service term or create a refund or credit. Material additions, new destinations, integrations or work outside the agreed scope require agreement on scope, timing and any additional fee before that work begins.

Quarterly reviews and agreed updates are an ongoing maintenance service; they are not a promise of continuous monitoring or real-time verification of every business, road, trail, event or condition. Time-sensitive corrections should be raised with Stay Guide promptly. Any specific response time or service-level commitment must be stated in the Order.

Stay Guide is built for hotel marketing and guest experience. We do not guarantee a particular number of bookings, an increase in revenue, a level of guest engagement or any other commercial result.

Independence from Hotel Systems

The standard guide can operate without an integration with the property’s customer relationship management system (CRM) or property management system (PMS). The property may distribute guide links through its existing systems. A link to a booking system or team contact does not by itself create a system integration or authorize access to guest records. Any additional integration or transfer of data must be separately agreed and described to affected users as required.

Fees Payment and Renewals

You agree to pay all fees and applicable taxes stated in the Order. On the Order date, any separately stated one-time Knowledge Base Build and Curation fee is due and charged in full, and the first recurring subscription charge is also due and charged. If an annual plan states that the agreed initial build is included, no separate build fee applies unless the Order states otherwise. Additional scope is subject to a separate fee and agreement.

Research, onboarding, build work and subscription service begin on the Order date. Subscription billing is not deferred until the guide is completed, approved, launched or first used by a guest. Monthly and annual renewal charges are due at the beginning of each new billing period unless the Order expressly states otherwise.

Unless the Order expressly states that the plan will not renew, monthly subscriptions renew monthly and annual subscriptions renew annually until canceled. By expressly agreeing to a recurring plan at checkout or in an Order, you authorize the disclosed recurring charges to your selected payment method until cancellation takes effect. Additional fees or changed renewal terms require the applicable notice and authorization.

Where offered, “build included” refers to the agreed initial build. An annual offer described as “two months free” is a price comparison with twelve monthly service payments; it is not a free trial or a delay in the first payment unless expressly stated in the Order.

Payments are handled through the designated checkout and its payment providers. You must provide accurate billing information and have authority to use the payment method. A failed payment may result in suspension after reasonable notice and an opportunity to resolve it, unless immediate action is necessary for fraud, security or legal reasons.

Cancellation Refunds and End of Service

You may cancel future renewal through the account cancellation controls where available or by emailing contact@stayguide.travel with enough information to identify the property and subscription. Submit the request before the next renewal charge. Cancellation takes effect at the end of the current paid billing period unless applicable law requires an earlier effect. We will provide any additional cancellation method or timing required by applicable law.

Cancellation stops future renewals only. It does not terminate, reduce or excuse payment for the current billing period, and all fees for that period remain due and payable. Access may remain available through the end of that period, subject to full payment and our rights to suspend or terminate access under these Terms. We do not prorate fees when a customer cancels or stops using the Service.

Except where applicable law requires otherwise or a separately signed agreement expressly provides a remedy, all fees and charges are final, non-refundable and non-creditable. This includes the build fee, the current or any prepaid subscription period, unused service time, unused included conversations, unused additional-conversation packs, work already started or completed, and delays or nonuse attributable to the customer. A discretionary credit or accommodation in one instance does not create an obligation to provide one in another. Contact contact@stayguide.travel promptly about a claimed billing error.

At the end of service, the property’s right to use the guide and Knowledge Base Materials ends, access may be disabled and guide links may stop working. No delivery, export or continuing use right exists unless Stay Guide enters into a separate written Knowledge Base Purchase Agreement. Ending service does not automatically delete every conversation or billing record; retention and privacy requests are handled under the Privacy Policy and applicable law.

Conversation Allowances and Additional Packs

The included allowance is stated per month even when the service is billed annually. One conversation is counted against the allowance each time the Service records a guest’s click or tap on the “Agree” button, or a successor acceptance control, to begin a new guide session. The conversation counts whether or not the guest sends a message, receives a response, returns later, abandons the session or is conducting a test, unless Stay Guide expressly excludes it in writing. Follow-up messages within the same recorded session do not create additional conversations. Stay Guide’s usage records, session boundaries and monthly reset date control absent a manifest error. Unused included monthly conversations expire at the reset and do not roll over unless the Order expressly states otherwise.

Additional-conversation packs are one-time purchases, are separate from the base subscription allowance and provide the quantity shown at purchase. Unused pack conversations roll over from one billing period to the next and do not expire while the same subscription remains continuously paid and active. Pack balances are non-refundable, non-transferable, have no cash value, do not extend the subscription term and cannot be used while the subscription is suspended or after it ends. We will not make a pack recurring or charge for another pack without the customer’s authorization.

Included monthly conversations are applied before pack conversations unless Stay Guide states otherwise. If all available conversations are exhausted, Stay Guide may pause or limit the guide until the next monthly reset or until an authorized pack is purchased and applied. A pause or limitation caused by exhausted capacity does not reduce the subscription fee or create a refund or credit.

Property Materials and Knowledge Base Rights

The property retains ownership of the names, logos, photographs, operating information and other materials it supplies, subject to any third-party rights. It grants Stay Guide the rights reasonably needed to research, build, host, maintain and present its guide and to provide the agreed services.

Except for Property Materials and materials owned by third parties, Stay Guide owns all right, title and interest in the property-specific knowledge base and every version and update of it, including the research, selections, curation, organization, annotations, database structure, prompts, workflows, templates, software and derivative materials (collectively, “Knowledge Base Materials”). Fees compensate Stay Guide for building and providing the Service; payment of a build fee, subscription fee or annual price does not assign ownership of any Knowledge Base Materials.

While all amounts due are paid and the subscription remains active, Stay Guide grants the property a limited, revocable, non-exclusive, non-transferable and non-sublicensable license to access and use the Knowledge Base Materials solely through Stay Guide’s technology for the property covered by the Order and to make the hosted guide available to that property’s guests. The property may not copy, export, scrape, sell, license, publish, create derivative works from, use with another provider, system or model, or continue using the Knowledge Base Materials after service ends, except with Stay Guide’s prior written agreement.

Any purchase, assignment, delivery, export or post-service use of Knowledge Base Materials requires a separate written Knowledge Base Purchase Agreement and a separately agreed fee. Stay Guide has no obligation to offer or complete such a sale.

A property’s permission to use the guide does not grant unrestricted rights in guest personal information. Access to conversations and insights is subject to the Privacy Policy, the applicable service agreement and law. The property remains responsible for its own communications and uses of information it receives.

9. Third Party Businesses Websites and Services

Stay Guide may recommend or link to restaurants, attractions, hotels, tour operators, transportation services, stores, websites, booking platforms and other third parties.

These third parties are independent from Stay Guide.

We do not control and are not responsible for their products, services, availability, prices, practices, safety, content, terms, privacy practices or actions.

A recommendation, link or reference does not guarantee quality, availability, safety or suitability. The participating property is responsible for reviewing and approving the recommendations it makes available through its guide and for promptly identifying needed corrections. Property approval does not create a warranty by Stay Guide about an independent provider.

Any transaction, reservation, purchase or other arrangement you make with a third party is solely between you and that third party and is subject to that third party’s terms and policies.

10. User Content and Conversations

You may provide questions, preferences, feedback and other information through the Service (“User Content”).

You retain ownership of your User Content.

You grant Stay Guide a non-exclusive, worldwide, royalty-free license to host, process, reproduce, analyze and use User Content as reasonably necessary to operate, maintain, secure, personalize and improve the Service and as otherwise described in our Privacy Policy.

If you access Stay Guide through a participating hotel or property, your conversation and related information may be accessible to Stay Guide and that participating hotel or property as described in our Privacy Policy.

Do not submit highly sensitive information in guest conversations or ordinary support messages, including passwords, financial account information, payment card information, government identification numbers, medical records or other information that is not necessary for travel assistance. Use the designated checkout or account interface when payment or sign-in information is required.

If you provide personal information about another person, you represent that you are authorized to do so.

11. Acceptable Use

You may not use the Service to:

• violate any law or regulation;

• harm, threaten, harass or abuse another person;

• submit unlawful, fraudulent, defamatory or infringing material;

• introduce malware, malicious code or harmful technology;

• attempt to gain unauthorized access to Stay Guide or related systems;

• interfere with or disrupt the operation or security of the Service;

• circumvent technical restrictions or security measures;

• reverse engineer, scrape or systematically extract the Service except as permitted by law;

• impersonate another person or misrepresent your identity;

• use automated means to overload or abuse the Service; or

• use the Service in a manner that infringes the intellectual property, privacy or other rights of another person.

We may restrict or terminate access if we reasonably believe the Service is being misused.

12. Intellectual Property

Except for User Content and materials owned by participating properties or other third parties, Stay Guide and its software, design, branding, interfaces, prompts, curated content, databases, compilations, structure and other proprietary materials are owned by or licensed to Stay Guide and are protected by applicable intellectual property laws.

Subject to these Terms, Stay Guide grants guests a limited, personal, non-exclusive, non-transferable and revocable right to use the Service for lawful travel planning and informational purposes. A business customer may use and make its hosted guide available to guests only under the limited license in Section 8, for the property and active service term covered by its Order.

No other rights are granted.

13. Feedback

If you voluntarily provide suggestions, ideas or feedback about Stay Guide, we may use that feedback without restriction or compensation to you.

14. Availability and Changes

We may modify or update the Service, and may suspend or discontinue access where reasonably necessary for security, maintenance, misuse, legal requirements or changes to the Service. For paid services, these rights are subject to the applicable Order, the cancellation and refund provisions in Section 8, and applicable law.

We do not guarantee that the Service will always be available, uninterrupted, secure or error-free.

Features, destinations, participating properties, recommendations and functionality may change.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAY GUIDE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

STAY GUIDE DISCLAIMS ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF ACCURACY, RELIABILITY, AVAILABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT INFORMATION PROVIDED THROUGH THE SERVICE IS COMPLETE, CURRENT, ACCURATE, SAFE OR SUITABLE FOR YOUR PARTICULAR CIRCUMSTANCES.

YOUR USE OF AND RELIANCE ON THE SERVICE IS AT YOUR OWN RISK.

Nothing in these Terms excludes any warranty or right that cannot legally be excluded, or excuses Stay Guide from performing express build, maintenance or other service commitments in an accepted Order.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STAY GUIDE, THE OPERATOR AND THEIR CONTRACTORS, SERVICE PROVIDERS, LICENSORS, PARTICIPATING PROPERTIES AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL OR OPPORTUNITY ARISING FROM OR RELATING TO THE SERVICE, EVEN IF THE POSSIBILITY OF SUCH DAMAGES WAS KNOWN.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF STAY GUIDE, THE OPERATOR AND ALL OTHER PARTIES PROTECTED BY THIS SECTION, COLLECTIVELY, ARISING OUT OF OR RELATING TO THE SERVICE, AN ORDER OR THESE TERMS WILL NOT EXCEED US $100. THIS IS A SINGLE AGGREGATE CAP, NOT A SEPARATE CAP FOR EACH CLAIM, EVENT, USER OR PROTECTED PARTY.

A different liability limit expressly agreed in a signed business service agreement controls for that agreement. If any exclusion or cap cannot be enforced as written, liability will be limited to the lowest amount and narrowest scope permitted by applicable law. Nothing in these Terms limits liability that applicable law does not permit to be limited.

These limitations apply regardless of the legal theory asserted and even if a party has been advised of the possibility of damages.

Some jurisdictions do not permit certain limitations of liability, so some limitations may not apply to you.

17. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify and hold harmless Stay Guide, the Operator and their representatives, contractors, service providers and licensors from third-party claims, demands, proceedings, liabilities, judgments, damages, losses and reasonable costs and legal fees arising out of or relating to your unlawful use of the Service, your breach of these Terms, your User Content or your violation of another person’s rights.

If you are a hotel, property or other business customer, this obligation also covers third-party claims arising from Property Materials, data, instructions or approvals you provide; approved recommendations; your failure to review, correct or update the guide; your distribution, marketing or use of the guide; your accommodations, facilities, services, policies or representations; your dealings with guests or recommended businesses; or your privacy and other legal obligations. Stay Guide may control the defense and settlement of an indemnified claim with counsel of its choice. You will reasonably cooperate and may not settle a claim in a way that imposes liability, obligations or admissions on a protected party without that party’s prior written consent.

18. Privacy

Our collection, use and disclosure of personal information is described in the Stay Guide Privacy Policy.

The Privacy Policy is available at https://www.stayguide.travel/privacy

By using Stay Guide, you acknowledge that your information may be processed as described in that policy.

19. International Use

Stay Guide may be accessed from locations around the world.

You are responsible for complying with laws applicable to your use of the Service in your location.

We do not represent that every feature or aspect of Stay Guide is appropriate or legally available in every jurisdiction.

20. Governing Law

Except where applicable law requires otherwise, these Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles.

Subject to the arbitration provisions in Section 21, any court proceeding not required by applicable law to be heard elsewhere will be brought in the appropriate state or federal courts located in Los Angeles County, California.

Nothing in this section limits any non-waivable consumer rights you may have under applicable law.

21. Dispute Resolution Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

Informal resolution first. Before starting any formal proceeding, you agree to first contact us at contact@stayguide.travel and attempt in good faith to resolve the dispute informally for at least sixty (60) days after you provide written notice describing the dispute and the relief you seek.

This informal-resolution process does not prevent urgent relief, a timely filing needed to preserve a claim, or the exercise of any non-waivable legal right.

Binding arbitration. To the maximum extent permitted by applicable law, any dispute, claim or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by final and binding individual arbitration administered by a recognized arbitration provider agreed by the parties. Consumer disputes will use the provider’s applicable consumer arbitration rules and protections; business disputes will use its applicable commercial rules, unless the parties’ written agreement specifies otherwise. The arbitration will take place in Los Angeles County, California, or, where required by law, in your county of residence, or may be conducted by telephone, videoconference or on documents where the rules permit. If the parties cannot agree on an available provider, either party may ask a court with jurisdiction to resolve appointment under applicable law; this does not limit any non-waivable right to proceed in court.

Arbitration filing fees, administrative costs and arbitrator compensation will be allocated under the applicable provider rules and law, including any required consumer protections. Nothing here requires a consumer to bear costs prohibited by those rules or by applicable law.

Class action waiver. To the maximum extent permitted by applicable law, you and Stay Guide agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of class or representative proceeding.

Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may seek injunctive or equitable relief in court to protect intellectual property or prevent unauthorized access to the Service. Nothing in this section requires arbitration of any claim to the extent applicable law makes that claim non-arbitrable or preserves a non-waivable right to proceed in court or on a class or representative basis.

Opt-out. You may opt out of this arbitration and class waiver section by sending written notice to contact@stayguide.travel within thirty (30) days of first accepting these Terms and stating your intent to opt out. If you opt out, the Governing Law and venue provisions above will apply to your disputes.

If the class action waiver is found unenforceable as to a particular claim or request for relief, that claim or request will be severed and heard in court, while all other claims will proceed in arbitration.

22. Changes to These Terms

We may update these Terms from time to time.

Changes to plan prices or material renewal terms will be disclosed before they take effect for a future renewal, with any notice and cancellation opportunity required by the Order or applicable law. A change to this website alone does not authorize an additional charge.

When we make changes, we will revise the Effective Date above. We will give notice of material changes through the Service, email or another appropriate means, and obtain any consent required by applicable law. Changes will not retroactively alter an accepted Order, accrued payment obligations, non-waivable rights or a dispute that arose before the change.

Your continued use of Stay Guide after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.

23. General

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect.

Our failure to enforce a provision does not waive our right to enforce it later.

You may not transfer your rights under these Terms without our consent. We may transfer these Terms in connection with a reorganization, financing, sale, merger or transfer of all or part of the Stay Guide business.

These Terms, the applicable Order and any separately accepted written service agreement govern your use of the Service. Our Privacy Policy explains how personal information is handled. If provisions conflict, a separately signed service agreement controls first, followed by specific terms of the accepted Order and then these Terms, in each case subject to applicable law.

Stay Guide is not liable for delay, interruption or failure caused by events beyond its reasonable control, including failures or changes by hosting, payment, artificial intelligence, communications or other service providers; internet or utility outages; cyberattacks; labor disputes; natural disasters; public emergencies; government action; or changes in law. Stay Guide may make reasonable substitutions or adjustments to continue the Service.

Payment obligations and provisions concerning ownership, licenses, disclaimers, limitations of liability, indemnification, dispute resolution and any terms that by their nature should survive will survive cancellation, suspension and termination.

These Terms do not create a partnership, joint venture, agency, fiduciary or employment relationship between Stay Guide and any property, user or third party. The Operator and each party protected by a release, disclaimer, limitation or indemnity in these Terms is an intended third-party beneficiary of that protection and may enforce it.
